These are funds received by a company directly from its shareholders when they're selling stock from the Treasury. An example of this is let's say you have a company and you want to raise money by selling equity or ownership in your company. You sell it to a new shareholder. They write you a check, you have paid-in capital. In simplistic terms, when a company sells stock, they get new paid-in capital. Now, when a stock trades on the stock market, that is not paid-in capital, that's secondary trading. Paid-in capital is when money is received directly from the company from its shareholders by the form of selling equity. Paid-in capital. Definition - Funds and property contributed to a firm by its stockholders in exchange for shares of stock. Paid-in capital is created when a company sells its shares on the primary market directly to investors, usually through an initial public offering (IPO) above its par value. Also known as "Paid-up Capital," any amount paid by investors that exceeds the par value is considered additional "Paid-in Capital." Paid-in capital is generated when a firm issues stock in the primary market, not when the stock is traded between shareholders and new investors in the secondary market. For example, if a company issues 100 shares of common stock with a par value of $1 and sells them for $50 each, the shareholders' equity of the balance sheet shows paid-up capital totaling $5,000, consisting of $100 of common stock and $4,900 of additional paid-up capital.
