The importance of a legal review before signing a contract or agreement before cannot be over emphasized and our clients at ICNC, understand this. Thus, our client forwarded this 29 paged co-founders agreement to us for a legal review but upon reviewing it; we discovered that the contract had too many errors, many clauses were absent and many were improperly couched. We immediately advised that apart from a legal review, a legal opinion will be needed to enable us express in detail clauses that needed to be added, removed or altered especially in favour of our client. Upon receiving our clients instructions, we drafted a 9 paged legal opinion on the contract. One of the many clauses we noticed was absent, is the right to first offer/first refusal. This is a right enjoyed by existing shareholders of a company such that in the event where the company has more shares to sell or allot, it first offers them to the existing shareholders. Where the shareholders refuse to subscribe to the shares, the company can then offer them to the public. We are glad we got the opportunity to protect our clients interest, as he invests in this Fintech company not just as an investor (debt financing) but also as a co-founder and shareholder.
