Origin Healthcare Solutions L.L.C. United States Court of Appeals for the Seventh Circuit 893 F.3d 454 (2018) The Uniform Commercial Code or UCC governs contracts for the sale of goods. In Pain Center of Southeast Indiana versus Origin Healthcare Solutions, we explore the UCC's applicability to mixed contracts involving both a sale of goods and the provision of services. In two thousand three, Pain Center of Southeast Indiana contracted to purchase medical billing software and associated services from SSI Med, which was subsequently acquired by Origin Healthcare Solutions. Pain Center paid a onetime software licensing fee of eight thousand dollars and a monthly fee of approximately two hundred twenty five dollars for services, including SSI's processing and submission of claims to insurance companies. Although Pain Center experienced problems with the billing system, in two thousand six, Pain Center contracted to also purchase record management software from SSI. Again, Pain Center paid a licensing fee and a monthly service fee and experienced problems with the software. Eventually, a billing specialist at Pain Center noticed that thousands of claims had accumulated in the system, not submitted to insurers. When the insurance companies refused to pay the then stale claims, Pain Center sued SSI seeking damages. Pain Center asserted multiple tort and contract claims, including a claim for breach of contract. The district court granted summary judgment in SSI's favor, finding that statutes of limitations barred all pain center's claims. Regarding the breach claim, the district court concluded that the contracts predominantly concerned the sale of goods and, consequently, the UCC's four year statute of limitations applied, instead of Indiana's ten year statute of limitations for other written contracts.
