However, the act never actually defines the term. The ninth circuit took up this task in Securities and Exchange Commission versus Carter Hawley Hale stores. In nineteen eighty four, the limited, a corporation, commenced a tender offer to acquire over fifty percent of Carter Hawley Hale stores' outstanding shares. Concluding that the limited's offer was inadequate, Carter Hawley announced a plan to repurchase up to eighteen point five million shares of its common stock at market price. The Securities and Exchange Commission or SCC brought an action for injunctive relief, seeking to prevent Carter Hawley from proceeding with the repurchase. The SCC alleged that the repurchase constituted a tender offer, and that Carter Hawley hadn't complied with the Williams Act's requirements regarding tender offers. The district court denied the SCC's request for injunctive relief, concluding that the repurchase plan didn't constitute a tender offer because the eight factor test established in Wellman versus Dickinson wasn't satisfied.
