How long will it take to get the company up and running? Well, you're in luck! At ILLAY Legal, we are the ‘all-in-one’ solution you need to get it right the first time. No complications or surprises. Time: Although you may hear that a company can be set up in 1 or 2 weeks, be realistic. The entire process, from requesting the name to having the company 100% operational and with the final tax identification number (formerly CIF), usually takes between 6 and 8 weeks. Money: How much does it cost to set up a limited company? Here we need to separate two things: Share capital: The law allows you to set up a company with just €1, yes, you heard right! But let's be serious. The minimum legal share capital is €1, but to give an image of solvency to banks, suppliers, and customers, the standard is still €3,000. Now that you have a clear idea of the figures, let's look at the 8 steps required to set up your SL in Spain. These are the steps in the correct order. Step 1: Register the company name. The very first thing to do is to make sure that the name you want is available. This is done by requesting a “Certificate of No Conflict of Company Name” from the Central Mercantile Registry. Step 2: Open a Bank Account and Contribute the Share Capital. With the name certificate in your possession, it's time to go to the bank. You will choose the one that offers you the best conditions to open the account in the name of your future company. You will deposit the share capital into that account. Step 3: Draft the Articles of Association: The articles of association are the rules of the game for your company: what it will do, how decisions are made, distribution of profits, etc. Step 4: Sign the Public Deed before a Notary This is the business equivalent of saying “I do.” With the name certificate, the bank certificate, and the articles of association, make an appointment with the notary. There, the founding partners will sign the Deed of Incorporation, the document that gives your company legal life. Step 5: Apply for a Provisional Tax Identification Number (NIF) With the deed freshly signed, the next step is the tax office. You must submit form 036 to apply for the company's provisional Tax Identification Number (NIF). This number allows you to start operating while the final formalities are completed. Step 6: Register the Company in the Commercial Registry. Now, the notary (they usually do this electronically) sends the deed to the Commercial Registry in your province. As I said before, this is the step that takes the longest. Once registered, your company officially exists for all purposes. Step 7: Register with the Tax Authorities and Social Security. With the company now registered, we return to the Tax Authorities to definitively register the activity (using the same 036 form) and we go to Social Security to register you, as the administrator, in the self-employed corporate regime. Step 8: Obtain your definitive tax identification number (NIF). Finally, once you are registered in the Registry, the Tax Office is notified so that your provisional NIF can be converted into a definitive one. And that's it!
