The failure of the proposed Fifth Edition of the ASX Corporate Governance Principles and Recommendations in 2025 has triggered important institutional and conceptual change in Australian public company corporate governance. In particular, the ASX has disbanded the Corporate Governance Council, taken sole charge of the development of the Corporate Governance Principles and Recommendations, and has reframed the purpose of the Code as promoting the interests of investors and listed entities and the 'market generally'. Gone is the previous reference to the satisfaction of 'community expectations'. The Fifth Edition's demise has also highlighted some significant political economy dynamics in Australian corporate governance, including very real tension between corporate management, the ASX and institutional superannuation funds. These developments have occurred against the backdrop of mounting concern about the shrinking of the ASX and its diminished attractiveness relative to foreign exchanges and private capital. This session will explore the opportunities, risks and challenges presented by these developments for corporate governance norms and regulation in Australia. Adjunct Associate Professor Tim Bowley has been closely involved in CLARS research projects, international collaborations and seminar programs since 2019. He is a corporate law researcher and experienced corporate lawyer. His research explores contemporary regulatory debates in corporate and securities law, with a particular focus on the role of shareholders in corporate governance. Tim's monograph, Activist Shareholders in Corporate Governance: The Australian Experience and its Comparative Implications, was published by Hart Publishing in 2023. Tim also teaches at Monash Law and has expanded the Faculty's corporate law teaching program by developing new postgraduate units of study including International Mergers & Acquisitions and Regulating Shareholder Activism. In 2025, Tim developed and taught a brand new unit at Monash Law, Corporations ESG and Society, which explored the policy, regulatory and theoretical implications arising from the increasing intersection of corporate activity, corporate regulation and key societal, political and environmental issues. Prior to his academic career, Tim was a partner in a national Australian law firm and practised in London at one of the leading ‘Magic Circle’ firms.
