The recent spate of crises afflicting the corporate and financial sectors around the world has triggered a new wave of corporate governance reforms, which call for greater empowerment of institutional and retail shareholders. Shareholder activism is a way that shareholders can influence a corporation's behavior by exercising their rights as partial owners. Classes of shares allow for distinct voting privileges, in addition to dividend entitlements. While these developments pave the way for a transformation shareholder activism encounters certain structural and institutional weaknesses embedded in the Indian markets. The Companies Act 2013 (CA 2013), and certain regulations issued by securities markets regulator SEBI, has, apart from raising the bar on governance matters, improved minority shareholder rights, created new shareholder remedies and codified directors' duties. Consequently, investors have been increasingly more willing to make their voices heard. Much of this dissent has been event-driven (opposing related party transactions, share repurchases and acquisitions) and limited to the larger listed companies. Despite these amendments, the legal system and institutions in India are not conducive to rendering timely and cost-effective remedies to shareholders who adopt a litigation strategy to counter managements that are perceived to act inimical to shareholder interests. The dominance of controlling shareholders in most Indian companies operates to dampen the effects of shareholder activism. The rapid proliferation of proxy advisory firms, a hitherto non-existent phenomenon in India, bestows shareholders with the advice necessary to exercise their corporate franchise in an informed manner.
