The Centre for Comparative Corporate Finance Law (C3FL) of the University of Vienna organized a conference titled 'Boards Inc. - Legal Persons as Directors and Officers', which took place in Vienna on December 11. 2025. The C3FL was delighted to welcome numerous renowned and distinguished legal scholars to this conference, all of whom contributed insightful and thought-provoking presentations on the subject. The event undertook a critical assessment of the question whether company law should allow legal persons to act as directors and officers of a company. It brought together comparative, economic, and historical perspectives from multiple jurisdictions to discuss existing regulatory models and their implications for potential reforms. Erich Schanze, who is Professor of Civil, International Business and Comparative Law at the University of Marburg, held a presentation titled 'De-Mystifying Corporate Law: the Person, the Group, the Franchise, and the Problem of Enterprise Administration'.
