A beneficial owner is an individual (or entity) that enjoys the advantages of ownership of an asset, even if the legal title is held by another person or company. Beneficial ownership focuses on the ultimate natural person(s) who control or benefit from a legal entity, trust, or arrangement — not just the name on the registration documents. ⚖️ FATF Beneficial Ownership Definition: The Financial Action Task Force (FATF), which sets international standards for AML/CFT, defines a beneficial owner as the natural person(s) who: ✅ Ultimately own or control a customer ✅ On whose behalf a transaction is conducted ✅ Exercise ultimate effective control over a legal person or arrangement 📘 In March 2023, FATF issued a new Handbook on Beneficial Ownership of Legal Persons, replacing its 2014 guidance. According to FATF, only natural persons can be ultimate beneficial owners, and there can be more than one UBO for a single entity or arrangement. ✨ Key FATF Guidance Notes: "Ultimately owns or controls" covers ownership through layers of entities or indirect means. Insurance policies: Beneficial ownership also applies to beneficiaries under life or investment-linked insurance. CDD challenges: If no controlling ownership interest is clear, the senior managing official may be recorded as the beneficial owner (Recommendation 10). 🏛 FATF Recommendations 24 & 25 Recommendation 24 – Transparency & Beneficial Ownership of Legal Persons (companies). Jurisdictions must ensure accurate, adequate, and timely information on beneficial ownership, accessible to competent authorities. Recommendation 25 – Transparency & Beneficial Ownership of Legal Arrangements (trusts).
