CHH announced a plan to buy back its stock to prevent Limited from taking over the company. Limited sought a court order to stop the share repurchase, but it was denied, and CHH began buying back its shares. CHH ended its share repurchase program after buying over 50% of its outstanding shares, on the same day that Limited was allowed to begin purchasing. The SEC sued CHH, alleging that CHH's repurchase program violated securities laws. The court evaluated whether CHH's repurchase program was a tender offer under the eight-factor test proposed by the SEC and adopted in Wellman v. Dickinson.
