Landa Cotton Oil Co. | 190 U.S. 540 (1903) The usual measure of contract damages is the difference between the contract price and the fair market value at the time of the breach. The United States Supreme Court considered whether an oil company was responsible for special damages over and above that differential in Globe Refining Company versus Landa Cotton Oil Company. Globe Refining Company, a Kentucky corporation, contracted to buy ten tanks of crude cottonseed oil from Landa Cotton Oil Company, a Texas corporation, at a price of fifteen and three-quarter cents per gallon. Globe Refining sent its tank cars to Landa’s mill in Texas, where Landa was supposed to fill them with oil, but Landa decided not to sell. Globe Refining sued Landa for breaching their contract and claimed special damages over and above the difference between the contract price and the market value of the oil at the time of Landa’s breach. According to Globe Refining, it paid the railroad a considerable sum to send its tank cars a distance of one thousand miles for Landa to fill and return. Because Landa failed to do so, Globe Refining needlessly lost the use of its tank cars for thirty days, an additional expense. To make matters worse, Globe Refining had already contracted to resell the oil to its own customers and was unable to fulfill those contracts within the promised timeframe. Because of this, Globe Refining lost customers and contracts and suffered a blow to its reputation. The district court decided that Landa wasn’t responsible for the special damages claimed by Globe Refining and dismissed the case.
