HOW TO AVOID LEGAL LANDMINES THROUGHOUT PRODUCTION

Producers want to focus on realizing the creative vision for their film or TV project and not on legal issues. But there are legal landmines through all 5 phases of producing project, any one of which can prevent a project from ever being released. So how do producers avoid stepping on the legal landmines littered throughout the production process? Producers can avoid the landmines that can blow up their project by hiring experienced production counsel as early in the process as possible as each of the 5 phases is riddled with legal issues. 1. DEVELOPMENT: During development, production counsel can assist with formation and organization of the production entity – which is very important to make sure the producers are protected and there is an entity into which all of the financing will be received and the intellectual property rights will be assigned. 2. PRE-PRODUCTION: During pre-production, production counsel will ensure that the production has secured the necessary rights for the screenplay and/or script and if necessary, life rights and publicity rights. 3. PRODUCTION: Once a project is ready to commence production, there are many agreements required for cast and crew as well as employment and labor law issues and union issues if dealing with SAG-AFTRA or any of the other unions. Consents and releases can also be required for locations, product placement and other matters. 4. POST-PRODUCTION. After production is completed, the project will enter post-production where editors, assistant editors, motion graphics artist, special effects artists and others may be employed, all of whom require contracts. Issues of copyright registration and potentially trademark registration will also arise. 5. DISTRIBUTION. Once the project has been completed, producers will of course hope to deliver to a distributor. Distribution agreements can be very complicated and often distribution of a project can involve multiple distributors and/or sales agents due to splitting of rights and/or splitting of territories. It is important to have counsel review all these agreements thoroughly. A major misstep at any of these 5 stages could blow up the chances of a project ever getting released.
